TERMS OF SERVICE — OMNIANT & OMNII

These Terms apply to the Omniant websites and the OMNII portal, including its installable web app, that display or link to these Terms (collectively, the “Services”). Please read these Terms before using the Services. By using the Services after having an opportunity to review these Terms, you agree to them, to the extent permitted by applicable law.

1. Omniant and Gio Celenza MGMT

Omniant is a division of Gio Celenza MGMT. OMNII is the portal provided through Omniant. References to “we,” “us,” or “our” mean Gio Celenza MGMT operating through its Omniant division.

Omniant and OMNII are not presented as separately incorporated companies or separate legal entities. Gio Celenza MGMT is not presented as a corporation or formally incorporated management company.

These Terms govern use of the Services. They do not replace separate management arrangements, creator agreements, project agreements, or document-storage policies. Access to OMNII, an assigned manager, a profile, or a listed organizational affiliation does not by itself establish employment, a partnership, ownership of creative work, or a separate management agreement.

2. Purpose and Features

Omniant provides organizational and technology support through OMNII. Depending on your account, permissions, and connected services, OMNII may provide a dashboard, requests, direct and group messages, attachments, documents, agreement-status tracking, people and profiles, announcements, notifications, calendar features, meeting scheduling, a connected Gmail inbox, account settings, and an AI assistant.

Features may vary by role and may be changed, limited, or discontinued. A feature shown in the interface does not guarantee access to every record, person, document, or third-party service.

3. Accounts and Eligibility

OMNII is intended for authorized management participants, creators, collaborators, and other approved users. You must use an account you are authorized to access and provide accurate information where required. Do not share your session or impersonate another person.

The Services are not intended for children under 13. Users under the age of legal majority must have permission from a parent or legal guardian where required by law. These Terms do not remove rights or protections available to minors.

Protect your Google account, device, and signed-in sessions. Use the available session controls to review and revoke access you do not recognize. Remembering a device keeps access available for longer, so use that option only on a device you control. Notify us promptly if you believe your account has been compromised.

4. Roles, Permissions, and Administration

Access depends on assigned roles, manager relationships, conversation membership, document permissions, and other account restrictions. Administrators may manage authorized users, organizational settings, announcements, notifications, and activity records. Assigned managers may access records made available to them for management purposes.

An administrator role does not grant unrestricted permission to browse a person's connected Google account. Access to Google user data is subject to the Privacy Policy, the person's authorization, and Google's applicable requirements.

Do not bypass access controls or use information obtained through OMNII for unrelated purposes. Authorized access must still be used responsibly.

6. Messages, Requests, and Submitted Content

You retain whatever ownership rights you hold in the material you submit. These Terms do not transfer ownership of your independent creative work to Omniant or Gio Celenza MGMT.

You grant us a limited, non-exclusive permission to store, process, transmit, and display your submissions as needed to provide the Services, enforce these Terms, and comply with applicable obligations. This includes making messages available to intended recipients and group members, and making records available to authorized management personnel. It does not authorize unrelated public promotion of your private content.

You must have the rights and permissions needed to submit material. Group messages are visible to authorized conversation members; recipients may retain copies. Do not treat the portal as an end-to-end encrypted messaging service or a place to submit passwords or unnecessary sensitive identifiers.

7. Documents and Agreement Status

Documents may be stored or accessed through the portal and third-party document services. Access depends on the applicable sharing permissions. Keep your own copies of important records.

Marking a document “signed,” “unsigned,” “verified,” or “incomplete” is an administrative tracking action. A status label alone does not prove that a legally effective signature was obtained, change the document's terms, or replace the actual signed record. Separate agreements govern their own obligations.

Management records may remain subject to the applicable Gio Celenza MGMT client-records policy and legitimate legal, financial, tax, or administrative retention requirements.

8. Google and Other Connected Services

Google sign-in and optional Google integrations operate through authorization granted by the account holder. Review the permissions shown by Google before connecting. OMNII does not require you to provide your Google password directly to us.

The Gmail feature is currently read-only. It displays connected email information and provides a link to view messages in Gmail; it does not send emails through OMNII. Calendar and document features depend on the permissions actually granted and the actions available in the interface. Scheduling embeds and Google Voice links operate through third-party services.

You can disconnect supported integrations in OMNII or revoke access through your Google account. Disconnection may make related features unavailable and does not automatically erase separate portal records or copies previously shared with others.

Google and other external providers control their own services, availability, and policies. Their terms apply when you use them. We remain responsible for our own handling of information as described in our Privacy Policy.

9. AI Assistant

The optional OMNII Assistant generates responses using Cloudflare Workers AI. It may process your question, recent conversation history, and limited portal information available to your account. Relevant connected Google data may also be processed as explained in the Privacy Policy and the notice provided before that use.

Responses can be incomplete or incorrect. Verify important answers against the original request, email, calendar entry, document, or responsible person. The assistant currently provides read-only guidance; it does not itself send email, book meetings, delete records, sign agreements, or complete requests.

Do not enter passwords, private keys, or unnecessary sensitive information. AI responses are not legal, tax, financial, medical, or other professional advice.

10. Announcements and Notifications

Authorized administrators may publish announcements and send notifications. Push notifications require permission on each device and may display message previews on a lock screen or shared display.

Delivery depends on browsers, operating systems, network access, device settings, and external notification services. Alerts may be delayed or absent. Do not rely on OMNII notifications for emergencies, critical deadlines, or guaranteed delivery; check the portal and use an appropriate additional communication method when needed.

11. Trash, Deletion, and Account Access

Where supported, requests, announcements, and notifications can be moved to Trash and restored before permanent deletion. The current Trash retention period is 30 days, with removal carried out by scheduled cleanup. Authorized users may permanently delete eligible items sooner where that control is available.

Deleting a portal item does not necessarily delete related messages, audit records, third-party originals, recipient copies, backups, or records subject to a legitimate retention requirement. See the Privacy Policy for more detail.

We may suspend or end access for security reasons, misuse, changes in participation, or operational needs. Where reasonably practical, we will communicate significant access changes. Ending portal access does not itself cancel obligations under a separate agreement.

12. Platform Content and Rights Requests

Names, logos, interface designs, code, written materials, and other platform content belong to their respective rights holders. You may use the Services for their intended purposes, but may not claim ownership of others' materials or reproduce protected platform content without permission or another lawful basis.

For copyright, privacy, or content-removal concerns, identify the material, its location, your relationship to it, and the requested action. We may request information needed to verify and assess the request. We will consider requests in good faith and honor applicable legal obligations. Third-party content may also require contacting the relevant provider.

13. Availability and Responsibility

We aim to keep the Services useful and accurate, but do not guarantee uninterrupted operation, error-free information, or permanent availability of a feature. Maintain independent copies of important records and verify information before relying on it.

To the extent permitted by applicable law, the Services are provided as available, and Omniant and Gio Celenza MGMT do not guarantee a particular outcome from their use. Responsibility for losses arising from reliance on inaccurate information, service interruption, or independent third-party failures is limited only as applicable law permits. Nothing here excludes liability or statutory rights that cannot lawfully be excluded, including responsibilities for our own conduct that the law does not allow us to disclaim.

14. Policy Changes

We may update these Terms to reflect changes in the Services or applicable requirements. Updated Terms will be posted with a revised date. Material changes will be brought to users' attention through an appropriate notice, and consent will be requested where required. Changes do not retroactively override rights or obligations under a separate agreement.
